The Yokogawa Bridge Holdings Group (hereinafter referred to as the "YBHD Group"), based on its corporate philosophy of "Contribution to society and the public, and sound management" and its Charter of Corporate Behavior, commits to contribute to the development of society by creating and protecting high-quality products and passing them on to future generations, as mentioned in the Basic Sustainability Policy.
To realize our commitment above, the YBHD Group acknowledges that it is essential to develop a sustainable supply chain, not merely by a single company’s efforts, but through collaboration with suppliers. Hence, we have established the "Yokogawa Bridge Holdings Group Basic Policy on Sustainable Procurement" and the "Yokogawa Bridge Holdings Group Guidelines on Sustainable Procurement."
The "Yokogawa Bridge Holdings Group Basic Policy on Sustainable Procurement" (hereinafter referred to as the "Basic Policy") demonstrates the basic approach of the YBHD Group in practicing sustainable procurement. The "Yokogawa Bridge Holdings Group Sustainable Procurement Guidelines" (hereinafter referred to as the "Guidelines") stipulates specific expectations for suppliers when taking actions in line with the Basic Policy.
We also expect our suppliers to encourage their own suppliers to follow these Guidelines or any equivalent guidelines they may possess.
* "Suppliers" refers to third parties and their personnel who provide goods and services to the YBHD Group, including business operators, procurement sources, contractors, and subcontractors.

In accordance with the Yokogawa Bridge Holdings Group Human Rights Policy , the YBHD Group will fulfills its responsibility to respect human rights by not infringing on human rights and by striving to prevent and minimize any possible negative impact on human rights that may occur through its business activities. - Health and Safety
Promote the health and safety of workers along with their mental and physical wellbeing by operating a management system that identifies, assesses, records, reports, and prevents occupational injuries and illnesses. - Environmental Protection and Resource Conservation
Strive to reduce environmental impact, including minimizing environmental burdens, reducing energy consumption and greenhouse gas emissions, promoting efficient use of resources, managing waste and chemicals, and conserving biodiversity. Contribute to the transition towards a decarbonized society by preventing and minimizing negative impacts on the environment. - Quality and Safety
Strive to further improve the quality and safety of products, services, and construction by ensuring their quality and safety in compliance with relevant laws, regulations, and standards. In the event of any quality-related incidents or defects, promptly report and take appropriate measures. - Management of Information Systems
Take necessary measures to ensure the safety of information systems and manage to prevent damage to the company and others by implementing protective measures against unauthorized intrusions and virus contamination. Strictly manage confidential information and personal data to prevent any leakage to external parties. - Disaster response
Develop a Business Continuity Plan (BCP) and strengthen the risk management system for times of disaster. In the event of a large-scale disaster or accident, strive to ensure the safety of employees and their families and protect company facilities and cooperate to restore or maintain the social infrastructure to promptly resume and restore business operations. - Social Contribution
Actively participate in social contribution activities and contribute to the development of society.

Anti-Corruption: Prohibit all forms of corrupt practices, which include inappropriate provision of benefits such as gifts and entertainments for public officials or those equivalent, acceptance or provision of gifts and entertainments that deviate from social norms, and illegal or inappropriate political contributions and donations.

Fair Business Practices: When selecting suppliers establish equitable and fair contracts. Determine optimal suppliers by comparing and evaluating various terms and conditions such as quality, price, delivery times, technological capability, stable supply capacity, management stability, and commitment to sustainability, in a fair manner. Do not engage in activities that violate anti-competitive laws, such as cartels, bid rigging, vertical price fixing, or abuse of superior bargaining positions, and engage in fair and free competition.

Appropriate Information Disclosure: Disclose necessary management information to stakeholders, including financial and non-financial information, in a timely and appropriate manner. Disclosure should provide an accurate description and record of related information, while avoiding false or fictitious statements.
- Protection of Intellectual Property Rights: Respect the intellectual property rights belonging not only to the company, but also to customers and third parties. Do not misuse intellectual property.

Refusal of affiliations with Anti-social Forces: Avoid any relationships with organizations involved in conflicts or crimes, so as to not serve as a funding source for armed conflicts or criminal organizations. Strive to prevent the use of the products and services provided by anti-social forces and firmly refuse any financial or transactional solicitations from such forces.

- Protection of Personal Information: Confidential information obtained through business, as well as personal information of internal and external parties such as officers and employees, will only be used for business purposes and be strictly controlled to prevent leakage of information to external parties.

- Business Continuity Plan: Strive to strengthen the risk management system for the event of an actual disaster by formulating and regularly reviewing the Business Continuity Plans (BCPs) upon identifying and assessing business continuity risks.

Response to Large-scale Disasters and Accidents: In the event of a large-scale disaster or accident, give top priority to ensuring the safety of employees and their families. Strive to protect company facilities and cooperate to restore or maintain the social infrastructure to promptly resume and restore business operations.

- Community and Social Contribution: Fulfill social responsibilities as a good corporate citizen by continuously engaging in social contribution activities such as support for culture and arts, cooperation with local communities, participation in volunteer activities, and contribution to the international community.

- Supplier Management: Communicate these Guidelines to suppliers and strive to encourage them to act in accordance with the Guidelines while establishing a process to monitor the suppliers’ compliance.
- Establishment of a Grievance Mechanism: Establish a grievance mechanism that can be used by internal and external stakeholders to report violations or potential violations of laws, regulations, or these Guidelines. Protect the anonymity of the whistleblower and the confidentiality of the report and prohibit retaliation against the whistleblower.
The Guidelines cover a wide range of issues that must be collaboratively addressed by YBHD Group and our suppliers. The Guidelines will be revised as needed to reflect changes in societal demands.
We may request our suppliers to provide information through questionnaires or engage in discussions in order to confirm the suppliers’ efforts in relation to the Guidelines.
In instances where adherence to these Guidelines is not evident, we may consult with suppliers and request them to improve measures as necessary.
Please note that we may have to reconsider the business relationship with the supplier if we do not see cooperation for improvement.

The Yokogawa Bridge Holdings Group (hereinafter referred to as the "YBHD Group"), based on its corporate philosophy of " Contribution to society and the public, and sound management " and its Charter of Corporate Behavior, regards respect for human rights as one of its key issues and has established this policy to fulfill its responsibility to respect human rights in its business activities.

In accordance with this policy, the YBHD Group will fulfill its responsibility to respect human rights by not infringing on human rights and by striving to prevent and minimize any possible negative impact on human rights that may occur through its business activities.

This policy applies to all YBHD Group directors, employees, loaned workers, temporary workers, and other workers engaged in our business operations (hereinafter referred to as "YBHD Group employees"). We also expect our business partners, including customers and suppliers, to support and comply with this policy.
(Compliance with laws and regulations and respect for international norms)
The YBHD Group supports and respects international human rights norms, including the International Bill of Human Rights and the International Labor Organization (ILO) 's Declaration on Fundamental Principles and Rights at Work.
We will also comply with applicable laws and regulations in the countries and regions in which we operate. Where there is a conflict between internationally recognized human rights and the local laws and regulations, we will seek ways to respect internationally recognized human rights principles while complying with the laws and regulations.
(Conduct human rights due diligence)
The YBHD Group will conduct human rights due diligence to identify, assess, prevent, and mitigate negative human rights impacts related to its business activities.
(Remediation/remedy)
If it becomes clear that the YBHD Group's business activities are causing or contributing to negative impacts on human rights, we will work to remedy the situation through appropriate means.
(Dialogue and consultation with stakeholders)
The YBHD Group will engage in dialogue and consultation with relevant stakeholders regarding negative impacts on human rights related to its business activities, and strive to understand, improve, and resolve human rights issues.
(Reporting and grievance handling)
YBHD Group employees, as well as business operators, directors, and employees who have contractual relationships with the YBHD Group, may report human rights concerns to the internal reporting system. The use of this system is strictly confidential, and users will not be treated unfairly in any way as a result of their reporting.
We will work to establish an effective reporting and grievance mechanism to identify and respond to the human rights concerns of internal and external stakeholders in a timely manner.

We will provide YBHD Group employees with the education and capacity building necessary to put this policy into practice.

Governance
The YBHD Group has established a “Bribery and Corruption Prevention Policy” to ensure that the Group's officers and employees, including dispatch employees, comply with laws and regulations related to the prevention of bribery and corruption in Japan and overseas, and endeavor to prevent bribery and corruption.

Based on this policy, the officers and employees, including dispatch employees (“officers and employees”) of Yokogawa Bridge Holdings Group (the “YBHD Group”) will comply with laws and regulations related to the prevention of bribery and corruption in Japan and overseas and endeavor to prevent bribery and corruption. - Compliance with laws and regulations
YBHD Group officers and employees will comply with applicable laws, regulations, etc., related to bribery and corruption in all countries and regions related to their duties, and shall conduct themselves in accordance with corporate ethics and social norms. - Prohibition of bribery and corruption
(1)No officer or employee of the YBHD Group shall provide entertainment, money, goods, etc., to any person, whether in Japan or overseas, for the purpose of obtaining any improper business advantage, whether directly or indirectly. YBHD Group officers and employees shall reject any request or offer of bribery or corruption received from a public official or other person.
(2) The YBHD Group will endeavor to include anti-bribery and anti-corruption clauses in the contracts it enters into with its business partners. - Thorough recordkeeping and management
The YBHD Group will create accurate accounting records based on facts, and will also properly store the relevant books of account. - Education and training
The YBHD Group will provide education, training, etc., to ensure that YBHD Group officers and employees comply with this policy, and will also ensure thorough knowledge of this policy among all officers and employees. - Bribery and corruption prevention system
(1)The YBHD Group will continuously review the effectiveness of the YBHD Group's bribery and corruption prevention system through regular audits and make improvements as necessary.
(2) The YBHD Group will establish appropriate systems for reporting, consultation, and notification, in order to prevent violations of this policy and to correct any violations that are discovered. In addition, we will ensure that counselors, reporters, and whistleblowers, or their collaborators, will not be subject to disadvantageous treatment. - Actions to be taken in case of violation
In the event that an officer or employee of the YBHD Group or a related third party acts in violation of this policy, the YBHD Group will immediately investigate the facts and take appropriate action. In addition, disciplinary action or other strict measures will be taken against the person(s) who performed deeds, depending on the attributes of those person(s).
